DAVIS: Our next item is I, Other Chief 6 Counsel Matters. There are two items under I. 7 First, Chief Counsel will present the 8 resolution, conferring of powers on the -- on the 9 Executive Director. 10 This matter requires a vote. 11 Mr. Nanjo. 12 MR. NANJO: Thank you, Ms. Davis. 13 Chair Cohen, Members of the Board, I have 14 presented to you the resolution of powers conferred 15 on the Executive Director. 16 The draft that I've put in front of you is 17 essentially the same that was used by the prior Board 18 for Mr. Kinnee. 19 We have reviewed -- Legal, we have reviewed 20 the provisions and find them appropriate. 21 And, again, as a footnote, a lot of these 22 powers are already in the Executive Director. But 23 the reason we state them in the resolution is we have 24 to -- when we process our contracts, and when we work 25 on various matters, we do deal with various control 26 agencies: Department of Finance, Department of 27 General Services. 28 And, generally speaking, we have found in 3 1 our practice that having such a resolution 2 streamlines the effort and makes things happen a 3 little faster. So Legal would recommend that we use 4 the same resolution of conferred powers. 5 If there are any questions, I'm here to 6 answer them for the Board Members. 7 MS.
